Terms of Use

These Terms of Use govern your access to and use of the Forms 1120 & 5472 filing platform, including the filing workflow, PDF generation tools, signature features, documentation, blog content, and API endpoints. By accessing or using the service, you agree to these Terms.

1. About the service

The service is software intended to help you collect information, prefill Form 5472 and a pro forma Form 1120, generate PDF filing packets, and prepare those documents for signature and delivery. It is a software tool only.

2. We are not tax professionals

We are not attorneys, certified public accountants, enrolled agents, or tax professionals. Nothing on the website, in the application, in the generated materials, or in any related communication constitutes legal, tax, accounting, or financial advice. You should consult a qualified professional if you need advice about your filing obligations or your specific facts.

3. No guarantee of accuracy

The PDF generation features rely on the information you provide. We do not independently audit, verify, validate, or correct that information. We do not represent or warrant that any generated PDF, statement, or filing packet is accurate, complete, acceptable to the IRS, or sufficient for your specific filing situation.

4. Filing deadlines and penalties

You are solely responsible for understanding and meeting all filing deadlines, delivery requirements, and signature requirements. You are also solely responsible for any penalties, interest, missed deadlines, rejected filings, or other consequences related to your filing.

5. Signatures and document delivery

If you use the signature features, you remain solely responsible for reviewing the signed PDF and deciding whether to submit it. The service may show delivery instructions and third-party fax options, but it does not currently transmit your filing directly to the IRS on your behalf. If you use an outside fax or delivery provider, that relationship is between you and that provider.

6. Your responsibilities

  • You are responsible for the accuracy, completeness, and legality of all information submitted through the service.
  • You are responsible for reviewing every generated PDF, statement, and signature placement before signing, faxing, filing, or otherwise using the output.
  • You are responsible for determining whether Forms 1120, 5472, or any related filings are required in your specific circumstances.
  • You are responsible for meeting all applicable filing, mailing, faxing, signature, and deadline requirements.

7. Acceptable use

You may use the service only for lawful purposes and only in compliance with these Terms.

  • You may not use the service to violate law, regulation, or the rights of others.
  • You may not submit false, misleading, infringing, or unauthorized information.
  • You may not interfere with the operation, security, or integrity of the service.
  • You may not attempt to reverse engineer, scrape at scale, abuse, or disrupt the API or website.

8. No professional relationship

Use of the service does not create an attorney-client relationship, accountant-client relationship, tax preparer relationship, advisory relationship, or any similar professional relationship.

9. Accounts, sessions, and saved filings

The service may save information locally in your browser and may associate a browser session with an email address if you choose to save your session. At this time, saving a session does not mean that an email verification or account-recovery workflow has been completed.

10. Third-party services and external links

The service may link to third-party websites or services, including fax providers and official government resources. We do not control and are not responsible for third-party content, availability, policies, security, or performance.

11. Intellectual property

Except for user-provided data and materials, the service and its content, code, design, and documentation are protected by applicable intellectual-property laws. These Terms do not grant you ownership of the service or any intellectual-property rights except the limited right to use the service in accordance with these Terms.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE ERROR-FREE, COMPLETE, SECURE, OR AVAILABLE WITHOUT INTERRUPTION.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS, GOODWILL, BUSINESS OPPORTUNITY, TAX BENEFITS, OR EXPECTED SAVINGS, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID TO USE THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnity

You agree to defend, indemnify, and hold harmless the service operator and related persons from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the service, your data, your filings, your violation of these Terms, or your violation of law or the rights of another person.

15. Suspension, modification, and termination

We may modify, suspend, restrict, or discontinue any part of the service at any time, with or without notice. We may also suspend or terminate access if we reasonably believe use of the service presents legal, security, abuse, or operational risk.

16. Changes to these terms

We may update these Terms from time to time. If we do, we will post the updated version on this page and update the effective date above. Continued use of the service after updated Terms are posted constitutes acceptance of the revised Terms.
